These Terms of Service ("Terms") govern your access to and use of the withclaw platform, including the website, mobile applications, AI agent services, and all related features (collectively, the "Service"), operated by Lawtrades, Inc. d/b/a withclaw ("withclaw," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. The Service

withclaw is an AI agent platform that provides autonomous AI assistants ("Agents") to help you manage work tasks such as email, scheduling, research, and communications. Agents operate on your behalf, connecting to third-party tools you authorize.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is intended for professional and business use.

3. Your Account

You are responsible for maintaining the security of your account credentials and for all activity under your account. You agree to:

• Provide accurate and complete registration information.
• Keep your password and authentication methods secure.
• Notify us immediately of any unauthorized access to your account.

We may suspend or terminate accounts that violate these Terms or pose a security risk.

4. Credits, Billing, and Payments

The Service operates on a credit-based billing model. Credits are consumed as your Agent performs tasks.

• Plans: We offer multiple subscription tiers with varying credit allocations and features. Current pricing is displayed on our website and may change with notice.
• Credit usage: Different tasks consume different amounts of credits based on complexity and the AI resources required.
• Overages: If you exceed your plan's credit allocation, additional credits may be purchased or your Agent's activity may be paused until the next billing cycle.
• Refunds: Subscription fees are non-refundable except where required by law. Unused credits do not roll over unless specified in your plan.
• Free tier: Free credits are provided for evaluation purposes and may be limited or revoked at our discretion.

5. Connected Services and OAuth

To function, your Agent requires access to third-party services (email, calendar, Slack, etc.) that you connect via OAuth or similar authorization methods.

• You authorize withclaw to access these services on your behalf within the scope of permissions you grant.
• You may disconnect any service at any time, which immediately revokes your Agent's access.
• We access only the data necessary to perform the tasks you request or approve.
• Your use of connected services remains subject to their own terms and policies.

6. Agent Behavior and Human Approval

Your Agent operates under an approval model:

• Default: Your Agent will not send emails, schedule meetings, post messages, or take other external actions without your explicit approval.
• Autonomy settings: You may adjust your Agent's autonomy level for specific task types. Increased autonomy means your Agent may act without waiting for approval on those tasks.
• Responsibility: You are responsible for the actions your Agent takes, whether approved individually or through autonomy settings. withclaw is not liable for any consequences of actions taken by your Agent.

7. Your Content

"User Content" means any data, text, files, or materials you provide to the Service or that your Agent accesses through connected services.

• You retain all ownership rights in your User Content.
• You grant us a limited, non-exclusive license to process your User Content solely to provide and improve the Service.
• We do not use your User Content to train AI models.
• You are responsible for ensuring you have the right to share any content you provide to the Service.

8. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable laws.
• Attempt to bypass security features, rate limits, or access controls.
• Use the Service to send spam, phishing, or unsolicited communications.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Share your account credentials or allow unauthorized access.
• Use the Service in a way that could harm, disable, or impair the Service or interfere with other users.
• Submit content that infringes intellectual property rights of others.
• Use the Service to generate content that is illegal, harmful, deceptive, or harassing.

9. Intellectual Property

withclaw and its licensors own all rights, title, and interest in the Service, including software, design, and branding. These Terms do not grant you any rights to use withclaw trademarks, logos, or other brand features without prior written consent.

10. AI Disclaimer

We do not warrant that:

• AI outputs will be accurate, complete, or reliable.
• The Service will be uninterrupted, secure, or error-free.
• The Service will meet your specific requirements.

11. Limitation of Liability

To the fullest extent permitted by law:

• withclaw and its affiliates will not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Service.
• Our total cumulative liability for any claims arising from or related to the Service will not exceed the amount you paid us in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Indemnification

You agree to defend, indemnify, and hold harmless withclaw (and its officers, employees, and agents) from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service.
• Your User Content.
• Actions taken by your Agent (whether approved individually or through autonomy settings).
• Your violation of these Terms or applicable laws.

13. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, or for any reason with reasonable notice.

Upon termination:

• Your Agent will stop all activity immediately.
• OAuth connections to third-party services will be revoked.
• Your data will be handled according to our Privacy Policy.
• Outstanding payment obligations survive termination.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes will be resolved exclusively in the state or federal courts located in New York County, New York.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service. Continued use after changes take effect constitutes acceptance of the updated Terms.

16. General

• If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
• Our failure to enforce any right or provision does not constitute a waiver.
• These Terms, together with our Privacy Policy, constitute the entire agreement between you and withclaw.
• You may not assign or transfer these Terms without our consent. We may assign our rights without restriction.
